These terms ("Terms") form a binding agreement between you and Claudenia Chartered Accountants & Tax Advisors Ltd (Reg. No: 47382916, registered at 14 Adeola Odeku Street, Victoria Island, Lagos 101241). By browsing claudenigeria.info, requesting a consultation or engaging us, you accept these Terms. If you do not accept them, please do not use the website or our services.
1. Use of the website
The content on claudenigeria.info is provided for general information only. It does not constitute legal, tax or accounting advice on which you should rely. Formal advice is only given through a signed engagement letter. You may not copy, redistribute or modify our content without prior written consent.
2. Engagement of services
Every paid engagement begins with a written scope letter signed by both parties. The scope letter overrides these Terms where the two conflict. Until a scope letter is signed, no professional relationship exists between you and Claudenia, regardless of any preliminary discussions.
3. Fees and payment
- Fixed-fee engagements are billed 50% on signature and 50% on delivery, unless your scope letter states otherwise.
- Retainer engagements are billed monthly in advance on the 1st of each month.
- Out-of-pocket expenses (statutory filings, courier, notarisation, third-party subscriptions) are billed at cost.
- All fees are quoted in naira and exclusive of VAT. VAT is added at the prevailing statutory rate.
- Invoices are payable within 14 days. Late payment attracts interest at the CBN monetary policy rate plus 3%.
4. Professional responsibility
Our work is carried out in accordance with the IFAC Code of Ethics, the ICAN Professional Standards and, for audit engagements, the International Standards on Auditing. We are entitled to rely on the accuracy and completeness of information you provide unless that information is manifestly inconsistent with other facts known to us.
5. Confidentiality
All information you share with us is held in strict confidence and used only for the purpose for which it was disclosed. Confidentiality continues indefinitely after the engagement ends. Exceptions are limited to (a) information you have authorised us to disclose, (b) information in the public domain through no fault of ours, and (c) disclosures we are legally compelled to make.
6. Intellectual property
The deliverables we produce under an engagement (reports, models, schedules, memos) become your property upon full payment. We retain the right to use the underlying methodology, frameworks and templates for other engagements.
7. Limitation of liability
Subject to applicable Nigerian law, our maximum aggregate liability arising from any single engagement is capped at three times the fees you paid for that engagement, or ₦15,000,000, whichever is lower. We are not liable for indirect or consequential loss, including lost profits, lost data or reputational damage. Nothing in these Terms limits liability for fraud or wilful misconduct.
8. Termination
Either party may terminate an engagement on 30 days' written notice. We may terminate immediately if you breach these Terms, if continuing would put us in breach of professional standards, or if you fail to pay an undisputed invoice for more than 60 days. Termination does not relieve you of fees due for work already completed.
9. Anti-money laundering
Before commencing any engagement we are required by the Money Laundering (Prevention & Prohibition) Act 2022 to verify your identity and beneficial ownership. You agree to supply the documents we reasonably request. We may decline to act if we cannot complete satisfactory KYC.
10. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes that cannot be resolved by good-faith discussion will be referred to the Lagos Multi-Door Courthouse for mediation, and failing that to arbitration under the Arbitration and Mediation Act 2023. The seat of arbitration is Lagos and the language is English.
11. Updates to these Terms
We may update these Terms from time to time. Material changes will be highlighted on this page for at least 30 days. Your continued use of the website or our services after the effective date constitutes acceptance of the revised Terms.
